Affiliate Program Terms of Service Agreement

This Affiliate Program Agreement ("Agreement") is entered into by and between Ingenious Solutions LLC ("Payor"), and the undersigned ("Affiliate"), collectively referred to as the "Parties."

1. Program Participation

The Affiliate agrees to participate in the Affiliate Program, promoting the AI AD-IFY Ads Manager and other future products as may be introduced by Ingenious Solutions LLC.

2. Commission and Payments

a. Commission Rate: The Affiliate shall earn a commission at the rate of 40% of all sales generated through their affiliate links.

b. Payment Schedule: Commissions are calculated on monthly sales and are paid on the 15th of each month for sales from the previous month.

c. Payment Method: Payments will be made via methods agreed upon by both parties and detailed in the Affiliate's Program account.

3. Fees and Expenses

a. The Affiliate is responsible for any transaction fees associated with the receipt of commissions.

b. All other expenses incurred by the Affiliate in connection with the Agreement are the responsibility of the Affiliate, unless otherwise agreed in writing.

4. Intellectual Property

a. Ingenious Solutions LLC grants the Affiliate a non-exclusive, non-transferable, revocable right to use its trademarks and logos solely for the purpose of promoting the products within the guidelines provided by Ingenious Solutions LLC.

b. The Affiliate shall not modify any branding or logos provided by Ingenious Solutions LLC without prior written consent.

5. Term and Termination

a. This Agreement shall commence upon acceptance by the Affiliate and continue until terminated by either party.

b. Either party may terminate this Agreement with thirty (30) days written notice to the other party.

6. Confidentiality

All confidential information exchanged between the Parties must be kept confidential unless disclosure is required by law.

7. Modification of Terms

Ingenious Solutions LLC reserves the right to modify the terms of this Agreement. Any modifications will be communicated to the Affiliate via email and will be effective immediately unless otherwise stated.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state where Ingenious Solutions LLC is registered.

9. Dispute Resolution

Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10. Acceptance

By participating in the Affiliate Program, the Affiliate agrees to and accepts all terms and conditions outlined in this Agreement.
